NWA Secures Advancement Order for Former Manager of Decision Logic Holdings LLC

On October 19, 2026, NWA, together with Richards Layton Finger, secured an order in the Delaware Court of Chancery requiring Decision Logic Holdings LLC (the “Company”) to advance fees and expenses to our client, a former manager of the Company, who also served as CEO of a subsidiary and is being sued by the subsidiary for alleged breach of a confidentiality agreement.
The Company had refused to advance fees, arguing that the suit was against her in her capacity as CEO of the subsidiary, not in her capacity as the manager of the Company. In response, NWA moved for summary judgment on the basis that the express contractual language still required advancement for service as an officer of an affiliate of the Company and, independently, that her role as the subsidiary’s CEO was derivative of her role as manager of the Company. Upon reviewing NWA’s papers, the Company conceded and consented to full relief.
The NWA team included Gregory Wolfe, Benjamin Cornfeld, and David Buonantony.
